The agreement
These Terms of Service ("Terms") form a binding contract between you ("you", "your") and SwiftBooks Pro Limited, a company registered in England & Wales ("SwiftBooks Pro", "we", "us"). By creating an account or using the service, you agree to these Terms. If you don't agree, don't create an account.
If you're signing up on behalf of a company, partnership or other organisation, you warrant that you have the authority to bind that entity to these Terms.
Who can use SwiftBooks Pro
You may use the service if:
- You are at least 18 years of age.
- You are based in the United Kingdom, or your business has a UK presence.
- You are not legally prohibited from using cloud accounting software in your jurisdiction.
- You are not subject to UK or international sanctions.
Your account & security
You are responsible for everything that happens under your account. That means:
- Keeping your password secret (use a unique password; invite colleagues in Users rather than sharing a login).
- Only inviting trusted team members and giving them appropriate permission levels.
- Telling us straight away (info@swiftbookspro.co.uk) if you suspect unauthorised access.
- Ensuring the data you enter is accurate — particularly for HMRC submissions.
We may suspend an account that shows signs of compromise (e.g. unusual login origins, suspected credential-stuffing) to protect you and other users.
Subscriptions, plans & pricing
SwiftBooks Pro is sold as a monthly or annual subscription. Current plans and prices are listed at /pricing. Plans differ in feature scope (e.g. MTD ITSA, CIS, multi-currency) and limits (e.g. user count on Standard).
Prices are quoted in GBP excluding UK VAT, which is added at the prevailing rate at the point of sale. We may change prices for future billing periods on 30 days' notice; your current billing period is unaffected.
You can upgrade or downgrade at any time. Upgrades take effect immediately and we pro-rate the difference. Downgrades take effect at the end of your current period.
Free trial
New accounts get a 30-day free trial of any paid plan. No card required to start. At the end of the trial, your account quietly converts to read-only unless you've subscribed — we never charge you without your explicit consent.
Payment terms
Subscription fees are charged in advance: monthly fees on each monthly anniversary, annual fees on the annual anniversary. Payment is processed by our PCI-DSS Level 1 payment provider (Stripe Payments UK Limited). We never store your full card number on our servers.
If a payment fails, we'll retry for up to 14 days and email you. After 14 days of failed retries we'll downgrade the account to read-only. Your data is preserved.
Cancellation & refunds
You can cancel any time from Settings → Billing. No penalty for cancelling.
- Monthly plans: cancellation takes effect at the end of the current period. We don't refund the partial month.
- Annual plans: continue until the paid period ends. We do not advertise a money-back guarantee — use the 30-day no-card trial first.
After cancellation, you have 90 days to download a full export of your data before it's permanently deleted.
Acceptable use
You agree not to:
- Use SwiftBooks Pro for any illegal purpose, including fraud, tax evasion or money laundering.
- Misrepresent records you submit to HMRC through the service.
- Resell, sublicense or white-label the service without a written Partner Agreement.
- Attempt to reverse-engineer the service, probe its security, or run automated scrapers beyond what our public API permits.
- Upload malware, illegal content, or content that infringes third-party rights.
- Exceed documented API rate limits or use the service in a way that materially degrades it for other users.
Your data & ownership
You own everything you put into SwiftBooks Pro. We never claim ownership over your ledger, your contacts, your documents or your reports. You grant us a non-exclusive, royalty-free licence to host, transmit, back up and process that data solely for the purpose of providing the service to you.
We will not use the contents of your ledger to train machine-learning models, populate aggregate marketing claims, or sell to third parties. Full processing details are in our Privacy Policy.
Service availability & SLAs
We target 99.9% uptime measured monthly, excluding scheduled maintenance announced at least 48 hours in advance. Real-time status at status.swiftbookspro.co.uk.
If we fall short of 99.9% in any calendar month, eligible Multi-Company and Practice customers receive a pro-rated service credit on request.
Tax filing — not from this login
SwiftBooks Pro is bookkeeping software. It is not HMRC-recognised and it does not submit MTD VAT, ITSA, CT600 or Companies House filings. This login does not file VAT, ITSA, CT600 or Companies House accounts. Other products from SWIFT CATALYST LTD may exist for tax filing; they use different logins.
If you use a separate product to file, you remain responsible for:
- The accuracy of the underlying records.
- Choosing the correct VAT scheme (standard, flat-rate, cash, margin).
- Submitting on time. We send reminders but ultimate responsibility is yours.
- HMRC penalties arising from late or incorrect submissions, unless caused by a verified outage of the service.
Third-party integrations
SwiftBooks Pro integrates with third-party services like Open Banking providers, GoCardless, Stripe, payroll providers and accounting platforms. These third parties have their own terms and privacy policies; we are not responsible for them. Connecting a third-party service is your choice and you can disconnect any time.
Intellectual property
The SwiftBooks Pro software, branding, design and documentation are owned by SwiftBooks Pro Limited or our licensors. You receive a limited, non-transferable, non-exclusive licence to access and use the service during the subscription term. No other rights are granted.
Warranties & disclaimers
We warrant that the service will perform substantially in line with our published documentation. We do not warrant that the service will be uninterrupted, error-free, or that every feature will meet every customer's specific needs.
All other warranties — express, implied or statutory — are excluded to the maximum extent permitted by English law. This does not affect your statutory rights under the Consumer Rights Act 2015 if you are using the service as a consumer.
Limitation of liability
Nothing in these Terms excludes liability for:
- Death or personal injury caused by negligence.
- Fraud or fraudulent misrepresentation.
- Anything else that cannot be excluded under English law.
Subject to the above, our total aggregate liability to you in any 12-month period is capped at the amount you paid us for the service in that 12-month period. We are not liable for indirect, consequential, special or punitive losses, or for loss of profit, goodwill or anticipated savings.
Indemnity
You agree to indemnify us against any third-party claim arising out of (a) your breach of these Terms, (b) your unlawful use of the service, or (c) content you upload that infringes third-party rights. We'll tell you about any such claim promptly and you'll have control of the defence.
Suspension & termination
We may suspend or terminate your access if you materially breach these Terms (e.g. non-payment for over 30 days, serious acceptable-use violations, suspected fraud). Where practical we'll give you 14 days' notice to remedy. For non-payment, we'll downgrade to read-only first and notify you before deletion.
You may terminate at any time by cancelling your subscription.
Changes to the service or these Terms
We continually improve the service. We may add, modify or remove features as long as we don't materially reduce what's in your current plan. Major plan changes that affect you are announced at least 30 days in advance.
We may update these Terms from time to time. The "Last updated" date at the top reflects the latest revision. Material changes are announced by in-app banner and (for opted-in users) by email at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
Governing law & disputes
These Terms are governed by the laws of England and Wales. Any dispute that we can't resolve through good-faith discussion will be submitted to the exclusive jurisdiction of the courts of England and Wales.
If you're a consumer based in another part of the UK (Scotland or Northern Ireland), this clause does not deprive you of mandatory protections of your local consumer law.
